Terms and Conditions of Sale - B2B

These Terms and Conditions of Sale (“Terms”) govern all quotations, order confirmations, and sales of products and services by Canadian Electric Vehicles Ltd. (“CanEV”, “we”, “us”, “our”) to business, institutional, and government customers (each, a “Customer”, “you”).

These Terms are intended for Business to Business B2B transactions only and do not apply to consumer purchases for personal or household use.  For Consumer Terms and conditions see below.


By placing an order with CanEV, you agree to these Terms.


1. Scope and Priority

1.1 These Terms apply to all sales of vehicles, kits, components, parts, and services (collectively, the “Products”), unless we have a separate written agreement signed by both parties that expressly overrides these Terms.

1.2 Your purchase order, standard terms, or other documents do not apply unless explicitly accepted by us in writing. In case of conflict, these Terms take precedence over any Customer terms or conditions.


2. Quotations, Orders, and Acceptance

2.1 Our quotations are invitations to treat and not binding offers. Unless otherwise stated, quotations are valid for 30 days from the date issued.

2.2 Your order (including electronic orders submitted via our website or by email) is an offer to purchase under these Terms.

2.3 A binding contract is formed only when we issue a written order confirmation or begin fulfilling the order, whichever occurs first.

2.4 We reserve the right to decline any order in whole or in part, including where we identify technical, pricing, or availability issues.


3. Prices, Taxes, and Duties

3.1 Prices are stated in Canadian dollars (CAD) unless otherwise specified.

3.2 Prices exclude applicable sales taxes, duties, customs, brokerage fees, import charges, and other government-imposed charges, all of which are your responsibility.

3.3 We may correct obvious errors in pricing or descriptions. If a correction materially changes your order, you may cancel the affected portion prior to shipment.


4. Payment Terms

4.1 Unless otherwise agreed in writing:

  • Website and online store orders are payable in full at checkout by credit card, debit, or
  • approved electronic payment.
  • For approved commercial accounts, payment terms will be specified in the quotation or order
    confirmation.

4.2 If you fail to pay any amount when due, we may, without prejudice to any other remedies:

  • Charge interest on overdue amounts at 1.5% per month (18% per year), or the maximum rate permitted by law, whichever is lower.
  • Suspend or cancel any current or future deliveries.
  • Revoke any previously granted credit terms.

4.3 You may not withhold payment or set off any amount against our invoices without our prior written consent.


5. Delivery, Shipping, and Risk of Loss

5.1 Unless otherwise stated in the quotation or order confirmation, Products are sold EXW CanEV facility, Parksville, British Columbia, Canada (Incoterms® 2020).

5.2 When we arrange shipping on your behalf:

  • We do so as your agent.
  • Risk of loss or damage passes to you upon handover to the carrier at our facility.
  • Shipping dates are estimates only and are not guaranteed. We are not liable for delays
    beyond our reasonable control.

5.3 You are responsible for:

  • Selecting appropriate shipping insurance, if desired.
  • All customs, duties, brokerage fees, and import-related charges.
  • Providing accurate delivery details and accepting delivery when the carrier attempts it.


6. Title and Security

6.1 Title (ownership) to the Products remains with CanEV until we receive full payment of all amounts due in respect of the Products, including applicable taxes, fees, and charges.

6.2 Until full payment is received, you shall:

  • Hold the Products in a manner that reasonably protects them against loss or damage.
  • Not sell, pledge, or otherwise encumber the Products outside of your ordinary course of
    business without our written consent.

6.3 If you default on payment or become insolvent, we may, to the extent permitted by applicable law, reclaim the Products and/or register a security interest in the Products and related proceeds.


7. Inspection and Acceptance

7.1 You must inspect the Products promptly upon delivery.

7.2 Any apparent shipping damage, shortages, or visible defects must be reported to us

within 7 calendar days of delivery, including photographs and relevant documentation.

7.3 Any other non-conformities that could not reasonably be discovered upon delivery must

be reported within 14 calendar days of delivery.

7.4 If you do not notify us within these timeframes, the Products will be deemed accepted and

in conformity with the contract, except for latent defects covered under Section8 (Warranty).


8. Warranties

Note: This section sets the baseline commercial warranty. Product-specific or project-specific warranty terms in a quotation or contract will override these general terms where they differ.

 8.1 New Products

Unless otherwise specified in a written warranty statement, for new CanEV-manufactured Products we warrant that, under normal use and service, the Products will be free from defects in material and workmanship for a period of 12 months from the date of delivery.

 8.2 Used or Refurbished Products

Used or refurbished Products are sold “as is” unless we provide a written, limited warranty in the applicable quotation or invoice. Any such warranty will be strictly limited to the terms expressly stated in that document.

8.3 Exclusions

The warranty does not cover defects or damage resulting from:

  • Improper installation, integration, or commissioning.
  • Use outside specified operating conditions or intended application.
  • Modifications, repairs, or alterations not authorized in writing by CanEV.
  • Accidents, abuse, negligence, or inadequate maintenance.
  • Normal wear and tear of consumable parts.

8.4 Warranty Claims and Remedies

(a) You must notify us in writing of a suspected defect as soon as reasonably possible after discovery and within the applicable warranty period.

(b) At our option, we may require you to return the Product, or specific components, for inspection and testing.

(c) If we confirm a covered defect, our sole obligation and your exclusive remedy will be, at our choice:

  • Repair of the Product.
  • Replacement of the Product or defective component; or
  • Refund of the purchase price for the defective Product or component (less reasonable usage
  • value, if applicable).

 8.5 The repaired or replacement Product will be covered for the remainder of the original warranty period or 90 days, whichever is longer.

 8.6 Except as expressly set out in these Terms or in a written warranty statement, all other warranties and conditions, whether express, implied, statutory, or otherwise (including warranties of merchantability and fitness for a particular purpose), are excluded to the fullest extent permitted by law.


9. Technical Support and Consulting Fees

 9.1 Included Technical Assistance

 (a) For each CanEV completed product, including Might-E Truck and Might-E Tug, we provide up to 3 hours of remote troubleshooting and technical assistance (“Included Support”) related to commissioning, configuration, and early operation issues.

(b) For each custom CanPOWER conversion kit/system, we provide up to 3 hours of remote technical assistance (“Included Support”) to support installation, integration, and commissioning.

 9.2 Scope of Included Support

 Included Support may be provided by phone, email, video call, or other remote means and typically covers:

  • Basic configuration and setup;
  • Guidance on installation best practices;
  • Troubleshooting error codes and performance issues;
  • Clarifying documentation and wiring diagrams.

 On-site visits, detailed engineering redesign, or vehicle-level certification services are not included unless specifically agreed in writing.

 9.3 Consulting Fees After Included Support

 Once the Included Support hours for the relevant Product are used, further engineering and technical consulting will be charged at a rate of $150 CAD per hour, purchased in advance in time allotments of:

  • 2 hours
  • 4 hours
  • 8 hours

 9.4 Consulting Packages

 (a) Pre-purchased consulting time is tracked by CanEV and may be used for any combination of:

  • Advanced diagnostics and troubleshooting;
  • Custom integration advice;
  • System design reviews or modification guidance;
  • Participation in technical coordination calls with your team or third-party integrators.

 (b) Consulting time is deducted in minimum increments of 15 minutes.

 9.5 Responsibility and Use of Advice

 Technical advice and consulting are provided for guidance only based on the information you supply. You remain responsible for:

  • The final system design and integration into your vehicles or equipment;
  • Compliance with applicable laws, regulations, and standards in your jurisdiction;
  • Ensuring that any modifications or installations do not compromise safety.

10. Returns and Cancellations (B2B)

 10.1 Orders for custom, configured, or built-to-order Products (including conversion kits, custom battery systems, and project-specific components) are non-cancellable and non-returnable, except where we agree in writing or where required by law.

 10.2 Standard, stock Products may be considered for return only with our prior written authorization and an issued Return Material Authorization (RMA) number. Returns without an RMA may be refused.

 10.3 Returned Products must be:

  • Unused, in resalable condition, and in original packaging; and
  • Shipped freight-prepaid by you to the address specified in the RMA.

 10.4 We may charge a restocking fee of up to 20% of the original product price for accepted returns of standard items.

11. Limitation of Liability

 11.1 To the fullest extent permitted by law, our total aggregate liability for any and all claims arising out of or relating to a sale of Products or these Terms, whether in contract, tort (including negligence), or otherwise, is limited to the amount you actually paid to CanEV for the specific Product or service giving rise to the claim.

 11.2 To the fullest extent permitted by law, we are not liable for:

  • Loss of profit, revenue, or business;
  • Loss of use or downtime;
  • Loss of data or loss of opportunity;
  • Any indirect, incidental, consequential, or punitive damages.

 11.3 You agree that these limitations are a fundamental part of the bargain between us and that we would not be able to provide the Products at the agreed prices without them.


12. Force Majeure

 12.1 We are not responsible for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, wars, terrorism, labour disputes, supply chain disruptions, transportation issues, or governmental actions.

 12.2 In such cases, we may suspend performance for the duration of the event or, where

performance becomes impracticable, cancel the affected portion of the order without liability.


13. Intellectual Property and Confidentiality

13.1 All intellectual property rights in our designs, software, documentation, and know-how remain the exclusive property of CanEV or its licensors. No rights are granted to you except as necessary to use the Products in the ordinary course of your business.

13.2 Any technical data, drawings, or confidential information disclosed by either party must be treated as confidential and used only for the purposes of the project or order for which they

were provided.


14. Governing Law and Dispute Resolution

 14.1 These Terms and any disputes arising out of or relating to them or any sale of Products shall be governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.

14.2 The parties submit to the exclusive jurisdiction of the courts of British Columbia, sitting in or nearest to Parksville, BC, for the resolution of any such disputes.


15. General

15.1 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

 15.2 We may update these Terms from time to time. The version in effect at the time of your order will apply to that order.

 15.3 You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor in connection with a business transfer.

Terms and Conditions of Sale - B2C - Consumer

These Consumer Terms and Conditions of Sale (“Terms”) explain how we sell products and services to individual customers for personal, family, or household use. 

 These Terms apply when you purchase through our website or directly from Canadian Electric Vehicles Ltd. (“CanEV”, “we”, “us”, “our”) as a consumer, including under the iCanEV brand. 

 If you are buying for a business, government, or institutional use, please see our B2B Terms and Conditions of Sale above instead. 

 

By placing an order with us as a consumer, you agree to these Terms. 

 

1. Scope and Priority 

 1.1 These Terms apply to sales of vehicles, kits, components, parts, and related services for personal use (collectively, the “Products”), unless we have a separate written agreement with you that clearly states different terms. 

 1.2 Any other terms you send us (for example, in your own purchase documents) will not apply unless we expressly agree to them in writing. 

 1.3 Some Products (such as vehicle conversions) involve safety-critical work. You are responsible for ensuring that any installation or use of our Products is done safely and in compliance with applicable laws and regulations in your area. 

 

2. Orders and Our Contract With You 

 2.1 Placing an order. When you place an order on our website or by email/phone, you are offering to buy the Products under these Terms. 

 2.2 Order confirmation. A contract is formed only when we: 

  • send you an order confirmation email, or 
  • start preparing or shipping your order, 

 whichever happens first. 

 2.3 If we can’t accept your order. We may decline an order (for example due to stock limits, pricing or description errors, safety concerns, export restrictions, or concerns about improper use). If we have already received payment and can’t accept your order, we will refund you in full for the part we can’t supply. 

 

3. Prices, Taxes, and Duties 

 3.1 All prices are shown in Canadian dollars (CAD) unless we clearly say otherwise. 

 3.2 Prices for Products do not include taxes, shipping costs, customs, or import charges, unless we explicitly state that they are included. The checkout page or quote will show applicable sales taxes and shipping fees before you confirm your order. 

 3.3 If you are outside Canada, you are responsible for any import duties, customs clearance fees, or other charges imposed by your local authorities or the carrier. 

 3.4 We may correct obvious errors in prices or descriptions. If a correction significantly changes your order, we will contact you and give you the option to cancel the affected part for a full refund. 

 

4. Payment 

 4.1 For consumer purchases, payment is normally due in full at checkout by credit card, debit, or other approved electronic payment method. 

 4.2 If we offer a special payment arrangement (for example, staged payments for a conversion) this will be explained in writing in your order confirmation. You must pay according to that agreed schedule. 

 4.3 If a payment is reversed or fails (for example, a chargeback or rejected payment), we may: 

  • pause or cancel your order; and 
  • in the case of delivered goods that are not fully paid, exercise our rights under Section 6 (Title). 

 

5. Delivery and Risk 

 5.1 Where we deliver. We will deliver to the shipping address you provide at checkout or in your order. You are responsible for giving us accurate and complete address details. 

 5.2 Delivery times. Any delivery date we give you is an estimate, not a guarantee. Delays can happen due to carrier issues, weather, customs, or supply chain disruptions. We will do our best to keep you informed, but we are not responsible for delays that are beyond our reasonable control. 

5.3 When risk passes to you. 

  • If we arrange delivery to your address: the Products become your responsibility once they are delivered to the address you provided (or to a designated pickup point, if applicable). 
  • If you arrange your own carrier or pickup: risk passes to you when the Products are handed over to you or your carrier at our facility. 

5.4 Missed deliveries. You are responsible for accepting delivery. If the carrier returns the Products to us because they could not be delivered or were not collected, we may charge you for any additional shipping costs. 

 

6. Ownership (Title) 

6.1 Ownership of the Products passes to you when we have received full payment for the Products in cleared funds. 

6.2 If you receive Products that have not been fully paid for due to a payment failure or reversal, we may, to the extent permitted by law: 

  • request immediate payment of any outstanding amounts; 
  • request that you return the Products to us; or 
  • exercise other rights available to us under applicable law. 

 

7. Checking Your Order (Inspection) and Issues on Arrival 

7.1 Please check your order as soon as it arrives. 

  • If the package looks damaged on arrival, ask the driver to note it (where possible) and take clear photos before opening. 
  • Once opened, please check that the contents match your order and that nothing is visibly damaged. 

7.2 Reporting delivery damage or shortages. 

If you notice shipping damage or missing items, please contact us within 7 calendar days of delivery, with: 

  • your order number; 
  • photos of the packaging and Products; and 
  • a description of the problem. 

 7.3 Hidden problems. 

 If you later discover an issue that wasn’t visible on delivery (for example, a fault that shows up when you start using the Product), please contact us as soon as reasonably possible and within the applicable warranty period. 

 7.4 Your legal rights remain. 

 These timeframes help us process problems efficiently, but they do not limit your legal rights as a consumer under applicable consumer protection laws. 

 

8. Consumer Warranty 

 This section describes our standard consumer warranty. It is in addition to any rights you have under consumer protection laws in your province or country. 

 8.1 New Products. 

 For new CanEV-manufactured Products bought for personal use, we warrant that, under normal use and service, the Product will be free from defects in materials and workmanship for 12 months from the date of delivery, unless a different period is stated in the Product description or in a written warranty that comes with the Product. 

 8.2 Used or refurbished Products. 

 If we sell a Product as used or refurbished, we will clearly label it as such. Any warranty for used or refurbished items will be: 

  • the one stated in the Product description or order confirmation; or 
  • if no period is stated, 60 days from delivery for defects in materials and workmanship. 

 8.3 What is not covered. 

 Our warranty does not cover: 

  • installation that does not follow our instructions or recommended practices; 
  • use outside the specified operating conditions or intended use; 
  • modifications, repairs, or alterations not approved by us in writing; 
  • damage from accidents, abuse, misuse, neglect, or inadequate maintenance; 
  • normal wear and tear of consumable parts (for example, brake pads, tires, fuses); 
  • damage caused by other components, wiring, or systems not supplied by us. 

 8.4 How to make a warranty claim. 

 If you think your Product is defective and covered by this warranty: 

  1. Contact us with your order number, a description of the issue, and supporting photos or video if possible. 
  2. We may ask for additional information or suggest basic troubleshooting steps. 
  3. We may ask you to return the Product or specific components for inspection. In some cases, we may send replacement parts first and have you return the suspected faulty parts after. 

 8.5 What we will do if the Product is defective. 

 If we confirm a defect covered by this warranty, we will, at our option: 

  • repair the Product; 
  • replace it with the same or equivalent Product; or 
  • refund the price you paid for that Product (taking into account reasonable use, if appropriate). 

 Any repaired or replacement Product will be covered by the remainder of the original warranty period or 90 days, whichever is longer. 

 8.6 Your consumer rights. 

 Nothing in these Terms is intended to exclude or limit your statutory consumer rights that cannot be excluded under applicable law. If there is a conflict between these Terms and your non-excludable legal rights, your legal rights will apply. 

 

9. Technical Support and Consulting (Consumer) 

 9.1 Included technical assistance. 

 For consumer purchases: 

  • For each completed CanEV product used for personal purposes (including Might-E Truck and Might-E Tug), we include up to 5 hours of remote troubleshooting and technical assistance (“Included Support”). 
  • For each custom CanPOWER conversion kit purchased for personal use, we include up to 3 hours of remote technical assistance (“Included Support”). 

 Included Support is intended to help you with commissioning, configuration, and early operation/installation questions. 

 9.2 How Included Support is provided. 

 Included Support is provided remotely (for example by email, phone, or video call) and typically covers: 

  • basic configuration and setup; 
  • general installation best-practice guidance; 
  • troubleshooting common error codes and performance issues; 
  • clarification of diagrams and documentation. 

 On-site visits, detailed engineering redesign, and vehicle-level certification or approval services are not included unless we specifically agree to them in writing. 

 9.3 Consulting after Included Support hours. 

 If you need additional engineering or technical consulting beyond the Included Support hours, we offer pre-paid consulting packages at $170 CAD per hour, purchased in blocks of: 

  • 5 hours 
  • 10 hours 
  • 20 hours 

 Consulting time is tracked by CanEV and deducted in minimum increments of 15 minutes. 

 

9.4 What paid consulting can cover. 

 Paid consulting can be used for: 

  • advanced diagnostics and troubleshooting of complex issues; 
  • custom integration advice for unique builds; 
  • design reviews or recommendations for modifications; 
  • participation in technical calls with you and your chosen installer. 

 9.5 Your responsibilities. 

 Even where we provide technical advice: 

  • you are responsible for choosing a competent installer or doing the work yourself safely; 
  • you are responsible for ensuring your vehicle and installation meet local laws, inspection requirements, and safety standards; 
  • you must not perform work that could compromise safety if you are not qualified to do so. 


10. Consumer Returns and Cancellations 

10.1 Changing your mind before we ship. 

If you want to cancel or change your order, please contact us as soon as possible. We will try to accommodate changes before the order ships. For custom or built-to-order Products, cancellation may not be possible once production has started. 

 10.2 Standard Products – “change of mind” returns. 

 For standard, off-the-shelf Products purchased for personal use (not custom-built or specially configured), you may request a return for change of mind within 14 calendar days of delivery, subject to: 

  • the Product being unused and in “as new” condition; 
  • the Product being returned in its original packaging (including manuals, accessories, and any included parts). 

 You are responsible for the return shipping costs, unless we agree otherwise or the return is due to our error. 

 10.3 Non-returnable items. 

 The following are generally non-returnable, except where we are required to accept a return by law: 

  • custom, configured, or built-to-order Products (including custom conversion kits, custom battery systems, and special-order items); 
  • Products that have been installed, mounted, modified, or used; 
  • electrical parts that have been connected/energized; 
  • Products damaged after delivery due to misuse, accident, or improper handling. 

 10.4 Return authorization and process. 

 Before sending anything back to us, you must contact us and obtain a Return Authorization (RA) number and return instructions. Returns without an RA may be refused or delayed. 

 10.5 Inspection and refunds. 

 When we receive your returned Product, we will inspect it: 

  • If the Product meets the return conditions above, we will refund the purchase price paid for that Product, less any shipping charges and, if applicable, a reasonable restocking fee to cover inspection and handling. Any restocking fee will be clearly communicated in advance. 
  • If the Product is damaged, incomplete, or not in resalable condition due to handling after delivery, we may reduce the refund amount or decline the return, depending on the condition and applicable law. 

 10.6 Faulty or incorrect Products. 

 If we send you the wrong item, or if the Product is faulty, mis-described, or otherwise not as promised, please contact us. In those cases we will work with you to provide a repair, replacement, or refund, and we will generally cover reasonable return shipping costs where the problem is our fault, in line with your legal rights. 

 

11. Limitation of Liability (Consumer) 

 11.1 Nothing in these Terms is intended to: 

  • exclude or limit our liability for death or personal injury caused by our negligence; 
  • exclude or limit our liability for fraud or fraudulent misrepresentation; or 
  • limit any rights you have that cannot be excluded or limited under consumer protection laws. 

 11.2 To the extent permitted by law, our total liability for any claim arising from your purchase or use of a Product is limited to the amount you paid for that Product. 

 11.3 We are not responsible for: 

  • any loss that was not reasonably foreseeable at the time you placed your order; 
  • losses mainly related to any business you may run (for example, loss of profit, revenue, or business opportunity), because you are buying as a consumer. 

 

12. Force Majeure (Events Outside Our Control) 

12.1 We are not responsible for delays or failures caused by events we cannot reasonably control, such as natural disasters, pandemics, war, government actions, major supply chain disruptions, or large-scale transportation issues. 

12.2 If such an event affects your order, we will: 

  • let you know as soon as reasonably possible; and 
  • take reasonable steps to minimize the delay. 

 If the delay is substantial, you may contact us to discuss options, which may include cancelling the affected part of your order and receiving a refund for any Products you have paid for but not received. 

 

13. Intellectual Property 

 13.1 All intellectual property rights in our designs, software, documentation, and branding remain with CanEV or our licensors. 

 13.2 Buying a Product does not give you any ownership of our intellectual property, except for the limited rights you need to use the Product as intended. 

 

14. Governing Law 

 14.1 These Terms and your purchase are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada that apply. 

 14.2 If you live outside British Columbia, you may also have legal rights or remedies under the laws where you live. Nothing in these Terms is intended to remove or limit those rights where they cannot be excluded by law. 

 

15. Changes to These Terms 

 15.1 We may update these Terms from time to time. The version that applies to your order will be the one that was posted on our website at the time you placed your order, unless we clearly agree otherwise with you in writing.
